Weird bootup happenings..

I've been having some rather odd trouble.
When I bootup and get to my desktop, it crashes and reboots.. rinse, repeat. In safemode, I disabled the reboot on failure and it's some kind of memory stck dump error. >:So, I create a new profile and no toruble. BUT!
I get a notepad window pop up with this in it:
[.ShellClassInfo]
LocalizedResourceName=@%SystemRoot%\\system32\\shell32.dll,-21787
er.. yea.. wth?
I checked the startup reg. and only the usual things
Any clue as to whats going on? I did the regular sweep for Spyware and bugs and found some of each. their gone but the trouble remains.
system specs:
Win XP pro
AthXP1800+
DX9.something
512 Ram 2100+
