im getting this almost daily..... damaged hardware or corrupted software?
Nirsoft's BSV is telling me everytime its either one of the following:
iaStor.sys or ntoskrnl.sys
also, the parameter1 according to this:
http://support.microsoft.com/kb/137539
is telling me 00000008
which is saying Double Fault... or
Double fault
A double fault occurs when an exception occurs while trying to call the handler for a prior exception. Normally, the two exceptions can be handled serially, however there are several exceptions that cannot be handled serially and in this situation the processor signals a double fault. The two primary causes for this are hardware and kernel stack overflows. Hardware problems are usually related to CPU, RAM, or bus. Kernel stack overflows are almost always caused by faulty kernel-mode drivers.
can someone elaborate on this and why is it doing it almost daily now

you have a software raid setup?
there was a recent Intel Raid Matrix driver on Windows update just a few days ago!
Use system Internals and disable IAStore from running during Bootup.. Unless you have raid

neg on the RAID, all drives are independent
so uninstall Intel Matrix Technology?
while im thinking about it, i did have a slight OC on the CPU which is supposed to be a 100x39 ratio, i had pushed to 100x45. i did read in a couple of places that an applied OC can sometimes trigger this BSOD BCCode.
i just uninstalled Matrix Tech. and relaxed my OC back to a 100x40 ratio
Thoughts?

I said Disable, not uninstall... check injuries first before cutting off limbs

http://technet.microsoft.com/en-us/sysinternals
Download the whole package
SystemInternals and copy the folder to Program Files
use autoruns (not autorunsc)

How do you have your sata controller and raid controller configured on your motherboard?
Back to basics
If your not using raid the onboard raid controller should be disabled in the bios

and 2 Optical SATA I Burner Drives on two of the SATA II 3GBps Connectors
i have 4 3GBps and 2 6GBps Intel Z77 and 2 ASMedia ASM1061 SATA III 6GBps

Uninstall Intel rapid storage technology, which should kick you back to msachi.sys.

You might want to grab a copy of the as-ssd benchmark, it can show which ahci driver you are using. Just don't run it on a hard drive unless you have a couple hours to spare while the drive thrashes.
