Am i breaking the law?!!?

I really like descent 2 so i've started making a series of comics using 3d modeling... i'm not making any money off these... in fact they're made for the descentbb.net community... Ive posted two but two more are on the way... and i've got more ideas.

Technically, yes. But in these types of cases, it really is only illegal if you get caught. The state can't bring charges of copyright violation against you, only the copyright holder can. Parallax doesn't care (if they did, Planet Decscent wouldn't have a logo), and Interplay isn't around anymore.
Besides, your usage of the copyrighted models is probably protected under Fair Use, thereby making it completely and 100% legal.

It would depend on how anal the company is, but I doubt anyone cares anymore about someone using models from an almost ten year old game that only a few people play anymore. Otherwise Kuman would've been sued years ago for his model making, and several of us (including myself) would've been sued for using them as well.

I thought it was clever. Don't sweat the legal stuff (or the cheapshots). My only suggestion is to use a drawn-style font for the text in the balloons.
